Your initial and continued use of the main Chefs In Business site and any associated sub-sites confirms your acceptance of all terms of use for the sites.

Owner: refers to Chefs In Business Ltd, which owns all and any web domains and websites for www.chefsinbusiness.co.uk, and all authorised websites, sub-domains and allocated domains designated with the inclusion of “chefsinbusiness” for subscription, rental and use by its members.

Members: are persons, firms or businesses, which have an agreement with Chefs In Business Ltd to subscribe to Chefs In Business Plus to rent the use of one of Chefs In Business Ltd’s Plus domains for use in their organisation .

Subscribers: are persons, firms or businesses, who have registered to view the free content of Chefs In Business Ltd operated websites, but not those of its members.

Suppliers: are persons, firms or businesses that pay to have their branding and products featured on the Chefs In Business Ltd’s websites.

IF THESE TERMS OF USE ARE NOT COMPLETELY ACCEPTABLE TO YOU, YOU MUST IMMEDIATELY TERMINATE YOUR USE OF THIS WEBSITE.

  1. Changes to Terms

Chefs In Business Ltd may, at any time, for any reason and without notice, make changes to (i) this Website, including its look, feel, format, and content, as well as (ii) the products and/or services as described in this Website and (iii) its other defined domains containing the “chefsinbusiness” domain names.

However, Chefs In Business Ltd specifically disclaims any responsibility for the accuracy of allergen information provided if a recipe is copied within a users business as it is the responsibility of that business’ owner and its staff to ensure they have been trained and understand allergens and their potential impact on their customers.

Support documentation is available through the Food Standards Agency and other online training is available to access.

Business owners should be aware that prepared ingredients, although apparently similar, can vary in constituent ingredients and this can consequently mean allergens can be different.

It is incumbent upon business owners and their teams to make themselves fully conversant with allergens in any ingredient they use and have an effective recording system, such as Chefs in Business Plus, for these so that customers can be confidently advised when allergen information is requested.

Chefs In Business has provided nutritional calculations as part of its illustrative recipes.

However, Chefs In Business Ltd specifically disclaims any responsibility for the accuracy of allergen information.

It is provided for illustrative purposes only and should never be relied upon as 100% accurate or used for health, medical or dietary purposes. If calculations in these respects are required, businesses should refer to a qualified nutritionist.

However, these terms confirm that registered users may use developed recipe content for use in their own business where serving paying customers, but recipes are prohibited form being used in any other commercial environment such as websites, cookery books and other media that benefits the user financially unless express permission is sought in writing from Chefs In Business Ltd before use.

The materials at this Site, as well as the organisation and layout of this site, are copyrighted and are protected by United Kingdom and international copyright laws and treaty provisions.

You represent that you are a United Kingdom resident and are over the age of 16 years of age.

  1. Users Disputes

You are solely responsible for your interactions with other Users. Chefs In Business Ltd reserves the right, but has no obligation, to monitor disputes between you and other Users, including your direct use of our site sponsors services.

  1. Arbitration

Except as regarding any action seeking equitable relief, including without limitation for the purpose of protecting any Chefs In Business Ltd confidential information and/or intellectual property rights, any controversy or claim arising out of or relating to these Terms of Use or this Website shall be settled by binding arbitration in accordance with the provisions, in effect at the time the proceedings begin, of the Arbitration Act 1996. Any such controversy or claim shall be arbitrated on an individual basis, and shall not be consolidated in any arbitration with any claim or controversy of any other party. All information relating to, or disclosed by any party, in connection with the arbitration of any disputes hereunder shall be treated by the parties, their representatives, and the arbitrator as proprietary business information. Such information shall not be disclosed by the arbitrator without the prior written authorisation of all parties.

Each party shall bear the burden of its own counsel fees incurred in connection with any arbitration proceedings.

Judgment upon the award returned by the arbitrator may be entered in any court having jurisdiction over the parties or their assets or application of enforcement, as the case may be. Any award by the arbitrator shall be the sole and exclusive remedy of the parties. The parties hereby waive all rights to judicial review of the arbitrator’s decision and any award contained therein.

  1. Indemnity

As a user you agree to defend, indemnify, and hold Chefs In Business Ltd, its officers, directors, employees, agents, licensors, and suppliers, harmless from and against any claims, actions or demands, liabilities and settlements including without limitation, reasonable legal and accounting fees, resulting from, or alleged to result from, your violation of these Terms of Use.

  1. Accounts And Security

Chefs In Business Ltd does not warrant that the functions contained in the service provided by the Website will be uninterrupted or error-free, that defects will be corrected or that this service or the server that makes it available will be free of viruses or other harmful components.

As part of the registration process, Chefs In Business Ltd will set up a username for your account. A password will be generated upon activation of the account for you.

You shall provide Chefs In Business Ltd with accurate, complete, and updated account information. Failure to do so shall constitute a breach of this Terms of Use, which may result in immediate termination of your Account.

You may not:

(a)   select or use a Login Name of another person with the intent to impersonate that person;

(b)  use a name subject to the rights of any other person without authorisation;

(c)   use a Login Name that the Website, in its sole discretion, deems inappropriate or offensive.

(d) share your log in and password details with anyone else providing them with unauthorised access to “chefsinbusiness” sites

You shall notify Chefs In Business Ltd of any known or suspected unauthorised use(s) of your Account, or any known or suspected breach of security, including loss, theft, or unauthorised disclosure of your password.  You shall be responsible for maintaining the confidentiality of your password.

Any fraudulent, abusive, or otherwise illegal activity may be grounds for termination of your Account, at Chefs In Business Ltd’s sole discretion, and you may be reported to appropriate law-enforcement agencies.

  1. Force Majeure

The Owner will not be responsible for any failure or delay in performance hereunder that is directly or indirectly related to acts of God, storm, natural disaster, act of terrorism, utility outages or interruptions, system transmission failure, telecommunications or electrical failures, server failure, strike, lock out, delays, loss or damage to items in transit, embargoes or government regulations and restrictions or any other situation which is beyond its control.

ADDITIONAL TERMS FOR FEATURED SUPPLIERS

Please read these additional terms of use carefully before using this website and requesting to be come a Chefs In Business network supplier.

This section contains the Terms of Use governing your network sponsorship of the Chefs In Business site and sub-sites you may be featured on.

Chefs In Business Ltd’s acceptance of your network sponsorship request of www.chefsinbusiness.co.uk and its sub-sites (the “Website” or “Site”) is reliant upon your understanding and full acceptance of the terms. If you do not accept these Terms or you do not meet or comply with their provisions, you may not use the Website or become a network supplier.

Your request to be a network supplier and completion of your payment mandate is confirmation that you have, on behalf of your business, read and fully accept these terms.

Chefs In Business Ltd makes every effort to maintain the accuracy of the content provided, however the content is provided for illustrative purposes only and your business use is at your own risk.

  1. Recitals

Owner – Chefs in Business Ltd, the owner and operator of www.chefsinbusiness.co.uk and its regional sub-sites and Chefs In Business Plus sub-sites containing graphical and text-based descriptions of advertised sites along with hypertext links to those advertised sites.

Network Supplier– persons, firm or business desiring to advertise their services, products or hypertext and graphical links to their own websites (URL) on the Website i.e. when a link is selected by the User accessing the Website, the User is transported to the URL for the advertised site.

Term of Agreement: This agreement is a continuous agreement requiring notice to be given for exiting the agreement.

Standard Notice Period: 31 days

In consideration of the terms and covenants contained in this agreement, the parties agree as follows:

  1. Services to be provided

Chefs In Business will provide food, drink and room related “recipes” for users to follow, plus generate industry relevant information, which will be of help and add value to the end user hospitality knowledge.

These “recipes’ will include market indicative pricing, guidance on selling prices with gross profit margins, allergen guidance information, production instructions and a guide to nutritional content.

Each network supplier will be attached to either recipes, business information articles and our supplier network pages, which may include information in written, video or audio formats for their specifically identified regions.

Chefs In Business Ltd’s aim is to also develop, for its members and subscribers, a network of required product and service providers across the UK for specific products and services, with our suppliers either having exclusivity for national coverage or being allocated to certain counties of the UK, but we appreciate that sponsors may offer additional services and products that may overlap with those of other sponsors. Therefore whilst we do our utmost to maintain exclusivity regionally for the promotion of defined service or products, we cannot guarantee that there will not be some overlap geographically or in additional services being provided from each sponsor.

The Owner will use its reasonable efforts to maintain its Chefs in Business sites available for display through the World Wide Web. The Owner is not responsible for periodic downtime for maintenance, backup, acts of God, and other circumstances beyond its control or which are a normal part of the Internet business.

As each region grows, each regional network sponsor will periodically be presented with a CSV file of existing end users contact details to be used for their own marketing purposes, which will include their own existing customers and those of the other regional sponsors, subject to the end user confirming their agreement this can happen in accordance with the Data Protection Act 1998.

These end user details will only be disseminated within the Chefs In Business regions and are not for general sale.

  1. Independent Contractor

The Owner shall provide the Services as an independent contractor and the Owner shall not act as an employee, agent or broker of the sponsor.

As an independent contractor, the Owner will be solely responsible for paying any and all taxes levied by applicable laws on its compensation.

The Owner understands that the sponsor will not withhold any amounts for payment of any taxes from Owner’s compensation.

  1. Content

All content added to the Chefs in Business sites will be overseen and decided upon by the owner, however it is our intent to collaborate with network sponsors in their areas of expertise to deliver information and “recipes” to the end user that will continually add value to the end users business.

Chefs In Business Ltd will closely maintain required web standards including the prohibition of:

  • Any content promoting the use of tobacco or illegal substances; nudity, sex, pornography, or adult-oriented content;
  • Any content which is explicative or inappropriate language;
  • Content promoting illegal activity, racism, hate, “spam”, mail fraud, pyramid schemes, or investment opportunities or advice which is not permitted under law;
  • Content which is libellous, defamatory, contrary to public policy or otherwise unlawful or any other content deemed inappropriate by the Owner in its sole discretion.

The owner reserves the right to reject any content offered.

  1. Placement of the advertising

The Owner reserves discretion in all decisions and matters concerning placement of sponsors logos and contact on the Chefs In Business websites, software solutions, hardware configurations and selection, system components, categories of advertising, search engine results and search parameters and other operational and administrative matters pertaining to the construction and operation of the Owner website.

  1. License

The network supplier grants the Owner a limited, non-transferable, non-exclusive license to copy, use, store, set up, publicly display, publicly perform and transmit the sponsor’s details (including any trade names, trademarks and service marks shown) during the term of this agreement and solely in connection with this agreement.

Upon termination of this agreement, the Owner will remove the sponsor’s details, destroy all copies of it and cease further display of the network suppliers business.

Nothing in this agreement grants the regional network sponsor any right to use the name, trademark, or service mark of the Owner in any advertisement, sales promotion, or press release without Owner’s prior written approval.

  1. Proprietary Rights

The network supplier acknowledges that the contents of the Owner Website, including, without limitation, all trade names, trademarks, service marks, content, text, images, software, functionality, page and other design and layout, media and other materials therein, is proprietary to or licensed by Owner, protected under copyright, trademark and other intellectual property laws and such contents may not be reproduced without the consent of Owner.

The supplier retains all right, title and interest including copyright and other proprietary or intellectual property rights in the content of the advertisement, the suppliers trade names, trademarks and service marks therein.

  1. Payment

The network supplier shall pay the owner for inclusion on the site as discussed and confirmed by Chefs In Business by email.

All fees and payments are due 1st monthly commencing on the 1st of the month following completion of this agreement.

In the event of the network supplier defaulting on making the full payment on the due date, particularly when the sponsor requests continuation of any promotion after their renewal dates, the Website Owner reserves the right to suspend the promotion posted on the website.

The Owner reserves the right to suspend promotion services until the sponsor’s account is brought up to date and has the right to terminate this Agreement if any advertising fee is delinquent.

Additionally the Owner reserves the right to charge administration fees, not exceeding £500 (five hundred pounds) to cover the cost of recovering delayed or defaulted payments.

If the network supplier desires to remove the sponsorship from the Website prior to the end of this period, the sponsor must request the Owner in writing. No refund will be made for such early withdrawal of Advertisement.

  1. Sponsor Warranty.

The supplier warrants to the Owner that:

  • The supplier has the right and authority to enter into and perform its obligations under this Agreement;
  • The supplier sponsorship shall not constitute or be the subject of a notice or claim of any false designation of origin, false advertising or unfair competition under the law of any country;
  • The supplier sponsorship does not and shall not contain or be alleged to contain any content, work, name, mark, designation, materials or link that actually or potentially violates any applicable law or regulation, or infringes any proprietary, intellectual property, contract or tort right of any person or misappropriates a person’s trade secret, name, likeness or identity;
  1. Not for Resale

 Access to Chefs In Business sites for customers’ (subscribers) of our suppliers is provided as an additional, added value, cost free benefit supplemented by our network suppliers payments.

Chefs In Business agrees to place the services and products of its regional sponsors on its sites as prescribed.

However, ownership, content, promotion and invitations to join either as an end user or supplier are the sole right of the Owner, except where expressly permitted by Chefs In Business Ltd and the sale of subscriptions by any other party is strictly prohibited.

Chefs In Business reserves the right to sell subscriptions directly to any business, to grow its regions thus increasing the exposure of sponsors and at such time that a paying end user becomes a customer of a sponsor, will upon being advised by the sponsor, cancel the end users direct subscription, so that the end user may receive the content for free.

  1. Disclaimer

The services and website, and any content, are provided to you on an “as is,” “as available” basis without warranty of any kind whether express, statutory or implied, including but not limited to any implied warranties of merchantability, fitness for a particular purpose, quiet enjoyment, systems integration, accuracy, and non-infringement, all of which Chefs In Business Ltd expressly disclaims.

The Owner does not warrant that the services or Website will be uninterrupted or error free, nor does the Owner make any warranty as to the performance or any results that may be obtained by use of the services or Website.

The Owner specifically disclaims all express and implied warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement on the rights of third parties. In no event shall the Owner be liable, whether in contract, tort (including negligence), or otherwise, for any indirect, incidental, or consequential damages (including lost sales or profit, lost data, business interruption, lawyers or accountants’ fees), even if notified in advance of such possibility.

Chefs In Business Ltd does not endorse and makes no warranty as to the accuracy, completeness, currency, or reliability of the content, and Chefs In Business Ltd will not be liable or otherwise responsible for any failure or delay in updating the website or any content.

Chefs In Business Ltd has no duty to update the content of the website.

You are responsible for any results or other consequences of accessing the website and using the content, and for taking all necessary precautions to ensure that any content you may access, download or otherwise obtain is free of viruses or any other harmful components. This warranty disclaimer may be different in connection with specific products and services offered by Chefs In Business Ltd

The Owner makes no warranties that the advertising contained on the Owner Site will be free from errors or defects or that the use of the hypertext link or access to its site will be uninterrupted.

12. Termination

Either party may terminate this Agreement for convenience by providing 31 days written notice (“Termination Notice”) to the other party.

If either party violates its obligations to be performed under this Agreement, the other party may terminate the Agreement by sending a thirty one days notice in writing.

Upon receiving such notice, the defaulting party shall have thirty days from the date of such notice to cure any such default.

If the default is not cured within the required thirty-day period, the party providing notice shall have the right to terminate this Agreement.

Additionally, the owner reserves the right to terminate this agreement should it receive complaints regarding poor service or products from end users that have not been satisfied by the sponsor.

Should the supplier fail to meet the warranties detailed previously the Owner has the right to suspend or terminate promotion of the supplier or this agreement immediately without recourse by the sponsor.

The supplier will have not right to a refund of unused fees paid

13. Notices

Any notice, request, instruction or other document to be given under this Agreement by either party to the other shall be delivered by email to support@chefsinbusiness.co.uk

If, to supplier, the email of the primary contact at the network sponsors business.

Any notice which is addressed and mailed in the manner herein provided shall be conclusively presumed to have been given to the party to whom it is addressed at the close of business, local time of the recipient, on the third business day after it is so placed in the mail

14. Dispute Resolution

Except as regarding any action seeking equitable relief, including without limitation for the purpose of protecting any Chefs In Business Ltd confidential information and/or intellectual property rights, any controversy or claim arising out of or relating to this Agreement or this Website shall be settled by binding arbitration in accordance with the provisions, in effect at the time the proceedings begin, of the Arbitration Act 1996. Any such controversy or claim shall be arbitrated on an individual basis, and shall not be consolidated in any arbitration with any claim or controversy of any other party. The arbitration shall be held in London.

All information relating to, or disclosed by any party, in connection with the arbitration of any disputes hereunder shall be treated by the parties, their representatives and the arbitrator as proprietary business information.

Such information shall not be disclosed by any party or their respective representatives without the prior written authorisation of the party furnishing such information.

Such information shall not be disclosed by the arbitrator without the prior written authorisation of all parties. Each party shall bear the burden of its own counsel fees incurred in connection with any arbitration proceedings.

Judgment upon the award returned by the arbitrator may be entered in any court having jurisdiction over the parties or their assets or application of enforcement, as the case may be. Any award by the arbitrator shall be the sole and exclusive remedy of the parties. The parties hereby waive all rights to judicial review of the arbitrator’s decision and any award contained therein.

15. Limitation of Liability

In no event shall either party be liable to the other party for any indirect, incidental, consequential, special or exemplary damages, including without limitation, business interruption, loss of or unauthorized access to information, damages for loss of profits, incurred by the other party arising out of the services provided under this agreement, even if such party has been advised of the possibility of such damages.

In no event will neither party’s liability on any claim, loss or liability arising out of or connected with this agreement shall exceed the amounts paid to the owner by supplier advertiser.

16. Indemnification

The supplier agrees to defend, indemnify, and hold the Owner, its officers, directors, employees, agents, licensors, and suppliers, harmless from and against any claims, actions or demands, liabilities and settlements including without limitation, reasonable legal and accounting fees, resulting from, or alleged to result from, your violation of this agreement.

17. Entire Agreement

This Agreement contains the full and complete understanding and agreement between the parties with respect to the subject matter, and supersedes all other agreements between the parties whether written or oral relating thereto. This Agreement may not be modified or amended except by written instrument executed by both of the parties hereto. Each party agrees that it has not relied upon any representation of the other party, except for any representation made by such party under the express terms of this Agreement, in entering into and undertaking the obligations imposed by this Agreement

18. Modifications and Waiver

None of the terms or conditions of this Agreement may be waived except in writing by the party, which is entitled to the benefits thereof. No waiver of any of the provisions of this Agreement shall be deemed or shall constitute a waiver of any other provision (whether or not similar) nor shall such waiver constitute a continuing waiver.
